Terms of Service

1. Acceptance of Terms
By downloading, installing, accessing, or using the Rita mobile application and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Services. These Terms constitute a legally binding agreement between you and Rita Africa ("Rita", "we", "our", "us"), a company incorporated under the laws of the Federal Republic of Nigeria.
2. Eligibility
You must be at least 18 years of age and a resident of a country where Rita's Services are available to create an account and use our platform. By registering, you represent and warrant that you meet these eligibility requirements and that all information you provide during registration is truthful, accurate, and complete. Rita reserves the right to refuse service, terminate accounts, or restrict access at our sole discretion.
3. Account Registration & Security
You are responsible for maintaining the confidentiality of your login credentials, transaction PIN, and any authentication factors associated with your account. You must not share your account credentials with any third party. You agree to immediately notify Rita of any unauthorized use of your account or any other security breach. Rita is not liable for any loss arising from your failure to protect your account credentials. You may only maintain one personal Rita account.
4. Services Provided
Rita provides digital financial services including but not limited to: multi-currency wallets (NGN and USD), peer-to-peer transfers, bank transfers, bill payments (airtime, data, electricity, cable TV, internet, betting), cryptocurrency trading (buy, sell, swap, deposit, withdraw), virtual USD VISA card issuance and management, and cross-border money transfers to supported African countries. The availability of specific services may vary by your geographic location, KYC verification tier, and applicable regulatory requirements.
5. KYC Verification & Transaction Limits
Rita operates a tiered Know Your Customer (KYC) verification system in compliance with Central Bank of Nigeria (CBN) regulations. Tier 1 requires BVN verification and permits daily transaction limits of up to NGN1,000,000. Tier 2 requires additional NIN verification and selfie authentication, increasing daily limits to NGN2,000,000. Tier 3 requires proof of address documentation and permits daily limits of up to NGN5,000,000. Rita reserves the right to modify tier requirements and transaction limits in accordance with regulatory changes.
6. Fees & Charges
Transaction fees, conversion rates, and service charges applicable to your use of the Services are displayed within the app before you confirm any transaction. By confirming a transaction, you authorize Rita to deduct the displayed fees from your wallet or transaction amount. Fee structures may be updated from time to time, and Rita will provide reasonable notice of material changes to fees through in-app notifications or email. Network fees for cryptocurrency transactions are determined by the respective blockchain networks and are not controlled by Rita.
7. Cryptocurrency Services
Rita's cryptocurrency trading services allow you to buy, sell, swap, deposit, and withdraw supported digital assets. Cryptocurrency prices are volatile and can change rapidly. Rita does not provide investment, financial, or trading advice. All crypto transactions are executed at the rates displayed at the time of confirmation. Past performance of any digital asset is not indicative of future results. You acknowledge that cryptocurrency trading carries significant risk, including the potential loss of your entire investment, and that you trade at your own risk.
8. Virtual Card Services
Virtual USD VISA cards are issued through Rita's licensed card-issuing partners and are subject to the terms, conditions, and policies of the issuing institution. Rita may suspend, freeze, or terminate virtual cards at any time for risk management, fraud prevention, or compliance reasons. Virtual cards may only be used for lawful purchases and are not permitted for cash withdrawals, peer-to-peer payments, or prohibited merchant categories. Card funding is processed at the prevailing NGN/USD exchange rate at the time of the transaction.
9. Cross-Border Transfers
Rita enables money transfers to supported African countries including Ghana, Kenya, South Africa, Tanzania, Uganda, and Cameroon. Cross-border transfers are subject to applicable exchange rates, transfer fees, and regulatory limits. Transfer times and availability may vary by destination country and local banking infrastructure. Rita is not responsible for delays caused by recipient banks, intermediary institutions, or regulatory holds in the destination country.
10. Prohibited Activities
You agree not to use Rita's Services for any unlawful, fraudulent, or prohibited purpose including but not limited to: money laundering or terrorist financing; sanctions evasion or transactions involving sanctioned persons, entities, or jurisdictions; fraud, identity theft, or misrepresentation; unauthorized access to other users' accounts; circumvention of KYC requirements or transaction limits; any activity that violates Nigerian law or the laws of your jurisdiction. Violation of these prohibitions may result in immediate account suspension, fund seizure, and reporting to relevant authorities.
11. Account Suspension & Termination
Rita may suspend, restrict, or terminate your account and access to the Services at any time if: you violate these Terms or any applicable law; your account is flagged for suspicious or fraudulent activity; you fail to complete required KYC verification within the specified timeframe; we are required to do so by law, regulation, or a court order; or we reasonably believe that continued access poses a risk to Rita, its users, or the integrity of the platform. Upon termination, any remaining balance in your wallets will be returned to you through an approved withdrawal method, less any applicable fees or regulatory holds.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Rita shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunities, arising from or related to your use of the Services. Rita's total aggregate liability for any claim arising from these Terms shall not exceed the total fees paid by you to Rita in the twelve (12) months preceding the event giving rise to the claim.
13. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or relating to these Terms or the Services shall first be submitted to mediation administered by the Lagos Court of Arbitration. If mediation is unsuccessful within 30 days, the dispute shall be resolved by binding arbitration in Lagos, Nigeria, conducted in English. Nothing in this clause prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect intellectual property rights or prevent irreparable harm.
